These Terms of Use ("Terms") govern your access to and use of DirectionalPlan.com and related software, features, reports, exports, and services (collectively, the "Service"). The Service is operated by DirectionalPlan LLC, a Colorado limited liability company ("DirectionalPlan," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms.

1. Purpose of the Service

DirectionalPlan provides browser-based tools for directional well planning, survey management and analysis, anti-collision analysis, visualization, reporting, data import/export, and related engineering workflows.

The Service is currently offered as free soft-launch access while the platform is tested, improved, and expanded. Features, availability, access levels, and pricing may change in the future.

2. Eligibility and Account Responsibility

You must be legally able to enter into these Terms. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring under your account. You agree to provide accurate account information and keep your contact information current.

3. Limited License

Subject to these Terms, DirectionalPlan grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your lawful internal business, engineering, evaluation, and educational purposes.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful or fraudulent purposes.
• Attempt to access another user's account, workspace, or data without authorization.
• Interfere with the operation, security, integrity, or availability of the Service.
• Use bots, scraping, automated traffic, or other methods that unreasonably burden or abuse the Service.
• Copy, resell, sublicense, redistribute, or commercially exploit the Service except as expressly authorized by DirectionalPlan.
• Reverse engineer or attempt to obtain source code except to the limited extent such restriction is prohibited by applicable law.
• Upload material you do not have the right to use, process, or share.

5. Engineering Use and Independent Verification

DirectionalPlan is an engineering support tool. It does not replace qualified professional judgment, company procedures, regulatory requirements, field verification, or independent technical review.

You are solely responsible for reviewing and validating input data and all plans, surveys, anti-collision results, uncertainty calculations, reports, coordinate transformations, exports, and other outputs before relying on them for operational, drilling, regulatory, or safety decisions.

Use of the Service does not constitute engineering approval, certification, or a representation that any well plan or operation is safe, collision-free, compliant, or fit for a particular purpose.

6. User Data

You retain your rights in data you submit to the Service. You represent that you have the rights and permissions necessary to provide that data to DirectionalPlan for processing.

You grant DirectionalPlan a limited right to host, copy, process, transmit, transform, and display your data only as reasonably necessary to operate, secure, support, maintain, and improve the Service and to provide features you request.

You are responsible for maintaining appropriate independent backups of important engineering and operational data. DirectionalPlan is not intended to be the sole system of record for critical well information.

7. DirectionalPlan Intellectual Property

The Service, including DirectionalPlan software, source and object code, user interface, documentation, graphics, reports, templates, workflows, branding, and other original materials, is owned by or licensed to DirectionalPlan LLC and is protected by applicable intellectual-property laws. These Terms do not transfer ownership of DirectionalPlan intellectual property to you.

8. Third-Party Products and Interoperability

The Service may import from, export to, reference, or interoperate with third-party products and file formats. Third-party product names, trademarks, and service marks belong to their respective owners. References are used only to identify compatible or interoperable products and do not imply sponsorship, endorsement, or affiliation.

DirectionalPlan LLC is an independent company and is not affiliated with or endorsed by Halliburton or Landmark. COMPASS and EDM are Halliburton/Landmark product names and marks. Interoperability may be affected by changes made by third-party vendors.

9. Third-Party Services

The Service may depend on third-party hosting, email, analytics, security, domain, infrastructure, mapping, or other providers. DirectionalPlan is not responsible for third-party services outside its control, and their availability or behavior may affect the Service.

10. Soft Launch; Changes and Availability

During soft launch, features may change, be limited, contain errors, become unavailable, or be removed. We may modify, suspend, or discontinue all or part of the Service and may establish or change usage limits, eligibility requirements, or pricing.

11. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTIONALPLAN LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTIONALPLAN LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DIRECTIONALPLAN FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

13. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably believe an account is being used unlawfully, fraudulently, insecurely, in violation of these Terms, or in a manner that threatens the Service or other users. You may stop using the Service at any time.

14. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. To the extent permitted by law, disputes arising from these Terms or the Service will be brought in state or federal courts located in Denver, Colorado.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Where required by law or appropriate because of a material change, we may provide additional notice.
